General Terms and Conditions (GTC) – Business Coaching

1. These GTC apply to all services (coaching, workshops, sparring) provided by KarlSch GmbH, represented by Mag. Karl Schedlberger, MBA (hereinafter referred to as "Coach"), to the contractual partner (hereinafter referred to as "Client"). Deviating conditions of the Client will not be recognized.

2. Subject of Performance & Limitations The Coach provides services for support, guidance, and knowledge transfer in business and financial topics.

Important Note: The services do not constitute management consultancy in the sense of a regulated trade, as long as the corresponding trade license is not held. It is a process-oriented coaching approach (help for self-help).

No tax or legal advice is provided, nor is investment advice according to the Securities Supervision Act (WAG). The implementation of the developed impulses lies solely within the responsibility of the Client.

3. Conclusion of Contract The contract is concluded by the acceptance of a written offer or by the informal arrangement of an appointment and its subsequent confirmation.

4. Fees and Payment Terms The fee rates agreed upon in the offer shall apply. Invoicing occurs after the service is rendered (or at agreed milestones) and is payable within 14 days without deduction.

5. Cancellation Policy (Storno) Arranged appointments are binding. Cancellation up to 24 hours before the appointment: free of charge. Cancellation less than 24 hours before the appointment or no-show: The full fee will be invoiced as a cancellation fee.

6. Disclaimer The Coach owes careful guidance but does not guarantee specific economic success. Liability for slight negligence is excluded. Furthermore, liability is limited to the amount of the contract value, provided no personal injury has occurred. The Coach assumes no liability for the accuracy of the documents and figures provided by the Client.

7. Confidentiality The Coach undertakes to maintain silence regarding all business and private matters of the Client that become known within the scope of the activity, even after the termination of the contract.

8. Jurisdiction and Law Austrian law applies. The place of jurisdiction is the registered office of KarlSch GmbH.
